Data Security: Although all due care will be taken with your personal data it is the clients responsibility to ensure that prior to Xenon Computer Services starting work on the clients computer system(s) all data has been backed up and appropriate data recovery tools and procedures are available.

Payment: The price stated in any estimate or quotation, verbal or otherwise. is exclusive of VAT. Unless otherwise agreed between Xenon Computer Services and the client payment of the price shall be made within 30 days of the date of invoice . In the event of late payment Xenon Computer Services reserves the right to charge interest and reasonable costs associated with collecting the debt..

Delivery: The dates for delivery of goods, materials or execution of activities mentioned in any estimate or quotation are approximate only.

Copyright: Copyright of all material originated by Xenon Computer Services, either in the form of pre-contract documentation or as text, images, research papers or electronically stored code for the manipulation, transmission and presentation of information, remains vested in Xenon Computer Services. By separate negotiation and upon payment in full, copyright may be assigned or licensed to the client.

Risk and Ownership of Goods: Risk in the goods or material passes upon delivery to the client's premises. Where material is transmitted electronically, risk will be deemed to have passed to the client upon confirmation of receipt. Title to the goods or material shall only pass to the client upon payment in full of all sums owing or due to Xenon Computer Services, whether under contract or otherwise.

Indemnity: The client will indemnify Xenon Computer Services, its staff, contractors and agents for any loss or damage suffered or incurred as a result of failure to obtain any necessary licence or consent to enter any premises, or premises being unsafe or unsuitable, or any failure of the client to comply with any conditions imposed by any other party.

Liability: Xenon Computer Services shall under no circumstances be liable for any loss, damage, expense or injury of any kind, whether direct, consequential or otherwise, arising in connection with the execution of a contract or the use or failure of the goods supplied or any defect in them, or from any other cause whether or not due to the acts or omissions of Xenon Computer Services, its staff, contractors, or its agents, in excess of the contract invoice value.

Warranty: Xenon Computer Services will warranty its services for 90 days from the date of invoice. An items of new equipment or software product supplied through Xenon Computer Services shall be subject to the respective manufacturer's warranty terms and conditions. A software component created by Xenon Computer Services shall be warranted to perform to specification for a period of one year from the date of invoice. A public domain or freeware software component supplied to the client is provided without warranty.

Claims: All claims in respect of material, goods or services must be made in writing to Xenon Computer Services which will make all reasonable efforts to investigate and resolve such claims without undue delay. Resolution of a valid claim shall at the sole discretion of Xenon Computer Services be via remedies including, but not limited to, replacement, repair, reworking or adjustment of the price.

Force Majeure: Xenon Computer Services shall not be liable to the client for any loss or damage which may be suffered by the client as a result of the delivery of goods, materials or the execution of a contract being delayed prevented hindered or made uneconomic by reason or circumstances or events beyond Xenon Computer Services’ control.

Waiver: Any waiver by Xenon Computer Services of any breach of any term of these Terms and Conditions shall be valid only if given in writing.

Severance: Xenon Computer Services and the client believe that these Terms and Conditions are reasonable. If any provision shall be held to be contrary to applicable law, such provision shall be severed from the remainder, and the remainder shall continue in full force and effect.

Law: All contracts to which these Terms and Conditions apply shall be governed and construed in accordance with the laws of England.

Entire Agreement: These Conditions and the Contract constitute the entire agreement and understanding of the parties and supersedes all prior written or oral agreements, representations, understandings or arrangements between them relating to the subject matter of these Conditions and the Contract.

Remote Support: All remote support services shall be chargeable at the rate of £30 per 1/2 hour, with a minimum charge of 1/2 hour per session unles it is explicitly stated otherwise in writing. Each session shall be deemed to start at the time of connection. By allowing an employee of Xenon Computer services to connect to your machine you are accepting this condition..

Telephone Support: Each client will be granted up 15 minutes (or 1 telephone call) of free telephone support per month. Any other time shall be charged at a rate of £30 per 1/2 hour unless explicitly stated otherwise in writing.

Onsite Support : Each onsite visit will be chargeable at the rate of £30 per 1/2 hour with a minimum of 1 hour (£60) per visit, unless explicitly stated otherwise in writing.

Service Level : We endeavor to get to you as soon as possible - usually a response within 2 hours and an onsite prescence within 4. However, this is not guaranteed and no liability can be accepted for any loss arising from our failure to meet these targets.

Warranty : We will warranty all work for 90 days from date of completion. If the same fault recurrs within this period we will carry out the 2nd repair free of any labour charge. All hardware is guaranteed for 1 year from date of installation. Network issues involving a 3rd party, where the cause cannot be exactly detrmined (such as adsl/isp issues) are excluded from this clause, as are issues caused by missuse or virus / spyware infection.

Free Initial Consultation: Each new client will be entitled to a 1 hour FREE consultation. To qualify you must have atleast 2 PCs, laptops or Macs which you use for business. This consultation is to be used for quotations, advice or general consultancy not for PC repairs, network troubleshooting etc.
Support Credits

Validity: Credits may be used for Remote, Telephone and Onsite Support. 1 Credit is worth 30 minutes work with a minimum of 2 credits chargeable per onsite visit.

Useage : We wil issue a statement showing how you have sued your credits once every 6 months. In additon you can request a statement at any time by telephone or email.

Validity: Credits will continue to be valid for a period of 3 years from the date of purchase- however we require that you 'top up' your account atleast once a year.
